Terms of Service

1. Acceptance of Terms

By accessing or using any Hashtee Lab LLP ("Hashtee", "we", "us") service — including our website (hashteelab.com), API platform (platform.hashteelab.com), SDKs, documentation, and any AI models or applications made available through these channels — you ("User", "you") agree to be bound by these Terms of Service ("Terms").

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree, do not use our services.

These Terms constitute a legally binding agreement between you and Hashtee Lab LLP, a Limited Liability Partnership registered in India.

2. Definitions

• "Platform" — the Hashtee developer console at platform.hashteelab.com, including APIs, dashboards, and developer tools.
• "API" — the application programming interfaces through which you access Hashtee's AI models and services programmatically.
• "Models" — Hashtee's AI models including but not limited to Kundoo, Shama, Longlichi, Obi, Raru Runtime, Pechi, Dodo, and Binbin.
• "Input" — any data, text, images, audio, or other content you submit to our services for processing.
• "Output" — any data, text, predictions, transcriptions, or other content generated by our Models in response to your Input.
• "Services" — collectively, the Platform, APIs, Models, documentation, SDKs, and any related services provided by Hashtee.

3. Account Registration

To access the Platform and APIs, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your account credentials and API keys
• Promptly notify us of any unauthorised use of your account
• Accept responsibility for all activity that occurs under your account

API keys are confidential. You must not share, publish, or embed API keys in client-side code. Compromised keys should be rotated immediately via the Platform dashboard.

4. Use of Services

4.1 Permitted Use

You may use Hashtee Services to:

• Integrate AI capabilities into your applications via our APIs
• Process your data through our Models for legitimate business purposes
• Deploy Hashtee products on-premise or at the edge under applicable agreements
• Access documentation, SDKs, and developer tools for integration purposes

4.2 Restrictions

You must not:

• Use Services to develop competing AI models by systematic extraction of model behaviour
• Reverse-engineer, decompile, or attempt to extract the source code or weights of our Models
• Exceed rate limits or circumvent usage controls
• Use Services for any unlawful, harmful, or fraudulent purpose
• Sublicense, resell, or redistribute API access without written agreement
• Submit Input that violates our Acceptable Use Policy
• Use automated means to scrape, crawl, or index our website or documentation beyond reasonable use

4.3 Acceptable Use

All use of Hashtee Services is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference.

5. API Terms

5.1 Rate Limits & Quotas

API usage is subject to rate limits and quotas as defined by your subscription plan. Current limits are published in our API documentation. We may adjust limits with reasonable notice.

5.2 Availability

We target high availability for our API services but do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance. We are not liable for downtime caused by factors outside our reasonable control.

5.3 Versioning

We may release new API versions and deprecate older versions with at least 90 days notice. Deprecated endpoints will continue to function during the notice period.

5.4 Fair Use

Even on unlimited plans, usage must be reasonable and consistent with the intended purpose of the plan. We reserve the right to throttle or suspend accounts engaged in abusive or disproportionate usage after providing notice.

6. Data & Privacy

6.1 Your Data

You retain all rights to your Input. We do not claim ownership of your data submitted through our APIs or Platform.

6.2 Processing of Input and Output

When you submit Input to our APIs:

• We process your Input solely to generate Output and deliver the service
• We do not use your Input or Output to train or improve our Models unless you explicitly opt in
• Input and Output are not stored beyond the duration required to complete the API request, unless you enable logging features in your account settings

6.3 Data Processing Agreement

For enterprise customers processing personal data through our Services, we offer a Data Processing Agreement (DPA) that governs our role as a data processor. Contact info@hashteelab.com to execute a DPA.

6.4 Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms.

7. Intellectual Property

7.1 Hashtee IP

All Models, algorithms, software, documentation, trademarks, and other intellectual property provided by Hashtee remain our exclusive property or that of our licensors. These Terms grant you no rights to our IP except the limited right to use the Services as described herein.

7.2 Output Ownership

Subject to these Terms and applicable law, you own the Output generated by our Models from your Input. However:

• Output is provided "as-is" — we make no representations about its accuracy, completeness, or fitness for any purpose
• Identical or similar Output may be generated for other users who submit similar Input
• You are solely responsible for your use of Output, including ensuring it does not infringe third-party rights

7.3 Feedback

If you provide suggestions, feature requests, or other feedback about our Services, we may use such feedback without obligation to you.

8. Fees & Payment

8.1 Pricing

Services are billed according to the pricing plan you select on the Platform. Prices are published at hashteelab.com/pricing and in your account dashboard.

8.2 Usage-Based Billing

API usage is metered and billed according to your plan. Usage metrics (API calls, compute time, data processed) are tracked in your dashboard in near real-time.

8.3 Payment Terms

• Subscription fees are billed in advance on a monthly or annual basis
• Usage overages are billed in arrears
• All fees are exclusive of applicable taxes
• Late payments may result in service suspension after 15 days notice

8.4 Refunds

Prepaid subscription fees are non-refundable except where required by applicable law. Unused credits expire at the end of your billing period unless otherwise stated.

9. Limitation of Liability

9.1 Disclaimer of Warranties

Services are provided "as-is" and "as-available" without warranties of any kind, whether express, implied, or statutory. We specifically disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI-specific disclaimer: AI Models may produce inaccurate, incomplete, or biased Output. You must not rely on Output for critical decisions without human review and validation. Hashtee is not liable for decisions made based on Model Output.

9.2 Limitation

To the maximum extent permitted by law, Hashtee's total aggregate liability for any claims arising from or related to these Terms or your use of Services shall not exceed the greater of (a) the amount you paid to Hashtee in the 12 months preceding the claim, or (b) INR 50,000.

9.3 Exclusions

Hashtee shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunity, or goodwill.

10. Indemnification

You agree to indemnify and hold harmless Hashtee, its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from:

• Your use of the Services
• Your violation of these Terms or the Acceptable Use Policy
• Your Input or your use of Output
• Your violation of any third-party rights

11. Termination

11.1 By You

You may cancel your account at any time through the Platform dashboard. Cancellation takes effect at the end of the current billing period.

11.2 By Hashtee

We may suspend or terminate your access if:

• You breach these Terms or the Acceptable Use Policy
• Your account is used for fraudulent or illegal activity
• You fail to pay fees after notice
• Required by law or regulation

We will provide reasonable notice before termination except in cases of material breach or legal requirement.

11.3 Effect of Termination

Upon termination:

• Your access to Services ceases immediately
• You must stop using our APIs and destroy any cached API keys
• We will delete your account data within 90 days, except where retention is required by law
• Accrued payment obligations survive termination

12. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in 46 Bajaj Bhavan, 4th Floor, Nariman Point, Mumbai, Maharashtra 400021, India.

Before filing a formal dispute, you agree to attempt resolution through good-faith negotiation by contacting legal@hashteelab.com.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email to the address associated with your account and posted on our website at least 30 days before taking effect.

Continued use of Services after changes take effect constitutes acceptance of the modified Terms. If you disagree with changes, you must stop using the Services and cancel your account.

14. General Provisions

• Entire Agreement — these Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Hashtee regarding the Services.
• Severability — if any provision is found unenforceable, the remaining provisions continue in effect.
• Waiver — failure to enforce any provision does not constitute a waiver of that provision.
• Assignment — you may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
